Role & Responsibilities

  • Act as lead legal counsel on cross‑border M&A, acquisitions, disposals, equity investments, joint ventures and restructurings.
  • Coordinate transaction execution with internal stakeholders (M&A finance, real estate, innovation, tax, accounting and operational teams) and manage operational follow‑up.
  • Draft, review and negotiate full transaction documentation including NDAs, letters of intent, term sheets, share purchase agreements, guarantees/indemnities, shareholders’ agreements, investment agreements and service contracts.
  • Manage and supervise due diligence processes in collaboration with external advisors (law firms, financial and accounting counsel).
  • Lead negotiations with counterparties and oversee signing, closing, interim periods and post‑closing integration and remediation matters.
  • Monitor and manage representations, warranties and indemnity claims; supervise and coordinate external legal counsel activity and fees.
  • Provide ongoing legal monitoring on M&A and contractual topics applicable to the Group’s operations.

Qualifications

  • Master II in Business Law / DJCE and Certificat d’Aptitude à la Profession d’Avocat (CAPA).
  • 8–10 years’ transactional experience in M&A and private equity, primarily acquired in an international law firm.
  • Fluent business English, both written and oral.
  • Proven ability to manage complex, high‑confidentiality cross‑border transactions under tight deadlines.
  • Excellent drafting, analytical and synthesis skills; commercial mindset and ability to act as a business partner to internal stakeholders.
  • Strong interpersonal skills and demonstrated capacity to collaborate with senior executives, operational teams and external advisors in multicultural environments.

Experience

Master II in Business Law (or equivalent, e.g. DJCE) and Certificat d’Aptitude à la Profession d’Avocat (CAPA).
